Terms of Service & Dealership License

1. Agreement to Terms & Scope of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber", "Dealership Owner", or "User") and Sydx Spares ("Company", "we", "us", or "our"), governing your access to and use of the Sydx Spares Multi-Tenant Cloud SaaS platform ("Service").

By creating an account, completing the onboarding process, checking the agreement checkbox, or paying for the 1-Year Dealership Pass, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Subscription License & Counter Seats

Upon payment of the applicable 1-Year Pass subscription fee, Sydx Spares grants you a non-exclusive, non-transferable, revocable license to access and use the platform for your authorized dealership entity.

• Seat Quota: Standard 1-Year Pass includes 5 concurrent counter seats (Owner, Manager, Billing Staff). Additional seat expansions can be provisioned by contacting support.
• Multi-Counter Synchronization: All connected counter computers and mobile devices within your authorized tenant workspace sync in real time.
• Prohibited Actions: You shall not reverse engineer, resell, sublicense, or rent the software to unauthorized third-party dealerships.

3. Dealership Data Ownership & Confidentiality

You retain 100% full ownership of all data uploaded, stored, or processed within your workspace, including spare parts catalogs, supplier lists, customer contact records, and sales invoice histories.

• Purchase Price Confidentiality: Your confidential dealer purchase prices and wholesale margin calculations are strictly guarded and shall never be exposed to retail customers or printed on customer bills.
• Data Isolation: Our PostgreSQL architecture employs strict Row-Level Security (RLS) to guarantee complete isolation from other dealerships on the platform.
• Zero Data Monetization: Sydx Spares does not sell, rent, or trade your inventory or business records to OEM manufacturers, competitors, or third-party advertisers.

4. Payments, Renewals & Invoicing

Subscription fees are billed in Indian Rupees (INR) upfront for a 1-Year Pass period via our authorized payment aggregator, Razorpay, or via custom negotiated dealership purchase orders.

Applicable Goods and Services Tax (GST) is computed and itemized transparently during checkout. Tax invoices are delivered instantly to your registered administrative email upon payment confirmation.

5. Service Availability & Maintenance SLA

We strive to maintain a 99.9% platform availability. Scheduled maintenance is conducted during low-traffic off-hours (typically between 1:00 AM and 4:00 AM IST) with prior notice posted on the system dashboard.

6. Account Cancellation & Data Portability

You may request cancellation of your subscription at any time. You retain the right to export your complete spare parts inventory, transaction history, customer dues, and sales ledger into standard CSV/Excel format before account closure.

7. Governing Law & Dispute Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.
